Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether individually or on behalf of an entity you represent, “User”, “you”, or “Restaurant Owner”) and ServeScan (operated by CreoForge, “we”, “us”, “our”). By registering an account, accessing the dashboard, creating a menu, or using the services available at servescan.app (the “Service”), you agree to comply with and be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Service.

2. Eligibility & Account Responsibilities

1. Authority: You represent that you are at least 18 years old and have the full legal capacity and corporate authority to bind the restaurant, cafe, or business entity you represent.
2. Account Security: You are responsible for safeguarding your login credentials (including passwords and any linked third-party accounts, such as Google Accounts). You must immediately notify ServeScan of any suspected unauthorized access or breach of security. ServeScan is not liable for any losses caused by unauthorized use of your account.
3. Single Sign-On (SSO) Compliance: If you access ServeScan using Google Login, you agree to comply with Google's respective Terms of Service and ensure that your linked email account remains secure.
4. Accuracy of Information: You agree to provide accurate, current, and complete registration details and to update them promptly as changes occur.

3. Plans, Pricing, and Billing Terms

A. Subscription Tiers & Free Tier

• Starter (Free Plan): $0/month forever. Includes 1 active menu (up to 3 drafts), up to 100 items (max 50/menu), 25 MB media storage (100 uploads/day), multi-currency support, and standard ServeScan footer branding.
• Pro Plan: $5/month (monthly billing) or $4/month billed annually ($48/year, representing a 20% discount). Includes 5 active menus (10 drafts), up to 500 items (max 200/menu), 250 MB storage (1,000 uploads/day), custom subdomain (brand.servescan.app), white-labeling (removes ServeScan footer), and Advanced+ QR Studio with custom center logos.
• Founding Member Free Trial: Eligible users registering during promotional launch periods receive a 7-Day Free Trial of the Pro Plan. Unless cancelled prior to the conclusion of the trial period, the account will revert to the Starter tier or transition to a paid subscription based on user selection.
• Bespoke / Enterprise Tier: Custom pricing tailored for enterprise venues requiring unlimited active menus, custom domain mapping (menu.yourbrand.com), dedicated storage, custom visual themes, and priority support.

B. Payment Processors & Billing Authority

• Global Transactions via Lemon Squeezy: For international transactions and subscriptions, Lemon Squeezy, LLC acts as the Merchant of Record (MoR). Lemon Squeezy manages global sales tax, VAT calculation, invoicing, and subscription renewals.
• Domestic Transactions via Midtrans: For domestic transactions in Indonesia, payments are processed securely through PT Midtrans via authorized payment channels (including QRIS, e-wallets, virtual bank accounts, and credit cards).
• Automatic Renewals & Cancellations: Paid subscriptions renew automatically at the end of each billing cycle unless cancelled through your dashboard prior to the renewal date. You retain access to paid features until the expiration of the current paid billing period.
• Refund Policy: Except where required by applicable law, payments are non-refundable. We do not provide prorated refunds for partial subscription periods or unused storage.

4. User-Generated Content (UGC) & Absolute User Responsibility

A. Content Ownership & License Grant

You retain full ownership and all intellectual property rights in and to the content you upload, submit, or display on ServeScan, including restaurant logos, dish photos, food descriptions, prices, menu layouts, and business details (“User Content”).

By submitting User Content, you grant ServeScan a worldwide, non-exclusive, royalty-free, transferable license to host, store, cache, format, display, and transmit your User Content solely to the extent necessary to provide, optimize, and maintain the Service.

B. Sole Responsibility for Menu Accuracy & Food Disclosures

You acknowledge and agree that you are solely and exclusively responsible for the content of your menus, including:

• Allergen & Dietary Disclosures: Accurate tagging and disclosure of food allergens (e.g., nuts, gluten, dairy, shellfish, soy), dietary labels (e.g., Halal, Vegan, Vegetarian), and ingredient warnings.
• Pricing & Truth in Advertising: Ensuring that displayed prices, variants, promotions, strikethrough discounts, taxes, and item descriptions match actual in-restaurant charges and comply with local consumer protection laws.
• Food Safety: ServeScan is strictly a digital software display platform. We do not prepare, inspect, handle, or deliver food, and we do not process kitchen orders.
• Automated Stock Status: While ServeScan provides automated and manual sold-out indicators, restaurant owners remain solely responsible for managing physical stock availability.

C. Prohibited Content & Strict Conduct Policy

You expressly agree that you shall NOT upload, post, transmit, or otherwise make available any User Content or use any language on your menus that:

1. Is unlawful, defamatory, libelous, fraudulent, harassing, threatening, abusive, vulgar, obscene, pornographic, sexually suggestive, or promotes hate speech, discrimination, or violence against any individual or group.
2. Infringes, misappropriates, or violates any third party's patent, copyright, trademark, trade secret, moral rights, or privacy/publicity rights (e.g., uploading food photos, logos, or marketing images without proper legal ownership or authorization).
3. Contains software viruses, trojans, worms, malicious scripts, corrupted images, or code designed to interrupt, destroy, or limit the functionality of computer software, hardware, or edge networks.
4. Uses misleading restaurant names, impersonates another dining establishment or entity, or falsely claims culinary certifications or endorsements.
5. Involves unauthorized commercial messaging, spam, or attempts to harvest diner information without consent.

D. Content Moderation, Takedown & Account Suspension

• Right to Moderate: ServeScan reserves the right (but assumes no obligation) to monitor, review, flag, refuse to display, or immediately remove any User Content that, in our sole discretion, violates these Terms or applicable law.
• Immediate Termination for Severe Violations: Any upload of sexually explicit material, hate speech, malicious code, or fraudulent menus will result in the immediate termination of the offending account and permanent blacklisting of associated credentials without refund.

5. QR Code Use & Direct Routing

• Direct Vector Routing: QR codes generated in our QR Studio route directly to your menu slug on the ServeScan edge network without passing through third-party advertising redirectors.
• Merchant Printing Responsibility: Merchants are responsible for verifying scanned QR code destinations prior to bulk printing on physical table tents, coasters, or storefront signage.

6. Intellectual Property Rights of ServeScan

All software, visual interfaces, graphics, interactive preview canvas engines, QR vector generation scripts, templates, typography presets, codebases, and documentation comprising ServeScan (excluding your User Content) are the exclusive intellectual property of ServeScan and CreoForge, protected by international copyright, trademark, and trade secret laws. You agree not to reverse engineer, decompile, duplicate, resell, or exploit any portion of the Service without our express written consent.

7. Digital Millennium Copyright Act (DMCA) / Copyright Policy

If you believe that any content hosted on a ServeScan menu infringes upon your copyright, please send a written infringement notice containing:

1. Identification of the copyrighted work claimed to have been infringed.
2. Identification of the infringing URL or material on ServeScan (servescan.app/m/...).
3. Your full name, contact address, telephone number, and email address.
4. A statement of good faith belief that the use is unauthorized.
5. A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

8. Indemnification

You agree to defend, indemnify, and hold harmless ServeScan, CreoForge, its founders, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

1. Your User Content, menus, food photos, or branding uploaded to the platform.
2. Any violation by you of these Terms or Acceptable Use Policies.
3. Any food safety dispute, allergic reaction, food poisoning claim, consumer pricing dispute, or transaction dispute between you and any diner or customer.
4. Your violation of any third-party intellectual property or privacy rights.

9. Disclaimer of Warranties

The service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied.

To the maximum extent permitted by applicable law, ServeScan and CreoForge expressly disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or free from harmful components, or that any defects will be promptly corrected.

10. Limitation of Liability

Limitation of Damages

To the maximum extent permitted by law, in no event shall ServeScan, CreoForge, or its affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of business reputation, loss of data, or dining disruptions, arising out of or in connection with your use of or inability to use the service.

Our total aggregate liability for all claims arising under or relating to these terms or the service shall be strictly limited to the greater of: (A) the total amount actually paid by you to ServeScan in the twelve (12) months immediately preceding the event giving rise to liability, or (B) fifty US dollars ($50.00 USD).

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CreoForge is registered, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be resolved through good-faith informal negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of that jurisdiction.

12. Modifications to Terms & Service

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this document and notify registered account holders via email or in-app dashboard notification. Your continued use of the Service following such notice constitutes your acceptance of the revised Terms.
